Pro End-User Licence Agreement
Licence, subscription, and entitlement terms for grith Pro and Enterprise features.

1. Agreement and scope
This Pro End-User Licence Agreement ("Pro EULA") is between Field Logic Ltd ("Field Logic", "we", "us") and the person or organisation that starts a trial, purchases a subscription, or activates a paid entitlement ("Customer", "you"). Field Logic Ltd is registered in England and Wales under company number 15380264, with its registered office at 3rd Floor, 86-90 Paul Street, London, England, EC2A 4NE.
This Pro EULA supplements our Terms of Service and your order. Together, they govern subscription entitlements, hosted services, and support supplied with grith Pro or Enterprise. They do not replace or restrict the open-source licence described in section 3.
If you accept for an organisation, you confirm that you have authority to bind it. If you do not agree to this Pro EULA, do not activate or use a trial or paid entitlement.
2. Subscription service
During an active trial or paid subscription, we provide the features, hosted capacity, support level, subscription period, and number of seats identified in your order or on the pricing page. Enterprise orders may include additional written service levels or commercial terms.
Subject to your compliance with this Pro EULA and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right for your authorised users to access those hosted and subscription services during the subscription period. Section 3 separately preserves all rights granted by MPL-2.0.
- A seat is permission for one named member of your team to use subscription features. You may reassign a seat when a member leaves or changes role, but you may not share one account concurrently between people.
- A signed entitlement is a cryptographically signed licence file or token issued for your team. It records the plan, features, seat count, validity period, and related identifiers.
- You may use subscription features only for your own internal business or personal purposes and within the plan and seat limits in your order.
3. Open-source software
The grith repository and distributed binary are licensed under the Mozilla Public License 2.0 ("MPL-2.0"). MPL-2.0 governs your rights to use, copy, modify, and distribute the covered source code and binary. Nothing in this Pro EULA limits or alters those rights, including your right to modify the covered source code.
A signed entitlement is a credential for services and benefits we provide, including cloud sync, hosted dashboards, team services, subscription updates, and support. It is not an additional copyright licence for MPL-2.0 source code.
4. Accounts and entitlement credentials
You must:
- keep account, API, and entitlement credentials secure;
- restrict credentials and administrator access to authorised team members;
- promptly tell security@grith.ai about suspected compromise or unauthorised hosted-service use; and
- not sell, sublicense, publish, forge, or provide your signed entitlement or service credentials to another person or organisation.
These credential restrictions apply to access to Field Logic's services. They do not restrict your exercise of rights in MPL-2.0 code.
5. Customer data
You retain your rights in data submitted to the Service. You grant us a non-exclusive licence to host, transmit, back up, and process it only as needed to provide, secure, and support the Service and comply with law. Our Privacy Policy explains processing for which we are a controller. Our Data Processing Agreement applies where we process personal data on your behalf.
You are responsible for your instructions, configurations, users, and the lawfulness and accuracy of data you submit. Do not submit special-category or criminal-offence data to cloud features unless we have agreed suitable written safeguards with you.
6. Acceptable use
The acceptable-use rules in the Terms of Service apply. You must not use hosted services or credentials to evade plan or seat limits, gain access to another customer's data, disrupt the Service, or conduct unlawful activity. We may apply reasonable technical limits needed to protect the Service and other customers.
7. Trials, billing, and renewal
Trial length, fees, billing period, renewal, taxes, cancellation, and refund rights are described in your order and section 5 of the Terms of Service. A trial ends automatically when its entitlement expires. A paid subscription renews until cancelled, and cancellation normally takes effect at the end of the current paid period.
If the quantity in your order changes, the issued seat entitlement and charges may be adjusted from the effective date shown at checkout or in the billing portal. We will not charge for an increase without the authorisation required by law.
8. Availability and changes
We may maintain, secure, and update subscription services and may change features as the product develops. We will give reasonable advance notice of a material reduction to a paid feature during a current subscription period where practicable. If a material reduction substantially removes the principal benefit of your order, contact billing@grith.ai so we can provide a remedy required by law or agreed in your order.
9. Suspension and termination
We may suspend hosted-service access where reasonably necessary to address a security incident, prevent unlawful use, protect another customer, or respond to a material breach. Where the issue can be remedied, we will normally give notice and a reasonable opportunity to do so. We may terminate for an uncured material breach, non-payment, or where continued service would be unlawful.
On expiry or termination, hosted and subscription entitlements end. Your MPL-2.0 rights in the open-source software continue. Data export and deletion follow the Terms of Service and DPA.
10. Warranty and liability
The warranty disclaimers, defence-in-depth limitation, liability terms, and non-excludable-liability protections in sections 7 and 8 of the Terms of Service apply to this Pro EULA. Any service level or remedy expressly stated in a signed Enterprise order takes priority for that order.
11. Order of precedence
For personal-data processing, the DPA controls over conflicting terms. A signed order controls for its specific commercial terms, followed by this Pro EULA and then the Terms of Service. MPL-2.0 independently controls all rights in covered software and is not displaced by any of those documents.
