Terms of Service

Terms under which Field-Logic Ltd offers the grith product, grith.ai, and related services.

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you (an individual or an entity, "you") and Field-Logic Ltd ("Field-Logic", "we", "us"), a company registered in England and Wales (the "Provider").

By creating an account, signing in, or otherwise using grith.ai, docs.grith.ai, or the grith product's cloud-backed features (together, the "Service"), you agree to these Terms. If you don't agree, don't use the Service.

The grith product itself is open-source software (see section 4); these Terms govern the hosted Service we operate around it, not your local use of the binary.

2. Your account

You are responsible for keeping your account credentials and any LLM provider API keys you store with us confidential, and for activity that happens under your account. Tell us promptly at security@grith.ai if you believe your account has been compromised.

You must be at least 16 years old to use the Service, and you must give us accurate and current information.

3. Acceptable use

You agree not to use the Service to:

  • violate any law or third-party right (including privacy, intellectual-property, or export-control law);
  • send spam, malware, or any content that's deceptive, harassing, or abusive;
  • attempt to circumvent security controls, rate limits, or licence-validation mechanisms;
  • scrape or republish the Service beyond what publicly-documented APIs allow;
  • impersonate another person or misrepresent your affiliation with any organisation;
  • use the Service to develop a competing product by, for example, training models on our output without our written consent.

We may suspend or terminate accounts that violate these rules. For severe or repeated violations we may do so without notice; otherwise we'll give you a reasonable chance to remedy.

4. The grith product (open source)

The grith binary itself is licensed under the Mozilla Public License 2.0 (MPL-2.0). Your rights to use, modify, and redistribute the binary are governed by that licence, not by these Terms. Pro / Team / Enterprise features ship in the same binary but require a valid licence to enable at runtime; using those gated features without a licence breaches both this section and the MPL-2.0 (because the licence-validation code is part of the covered work).

Pro, Team, and Enterprise subscriptions are sold through Polar. Pricing, billing frequency, and tier features are listed at grith.ai/pricing.

  • Billing. Subscriptions renew automatically on the cycle you selected (monthly or annual) until you cancel. Renewals are charged to the payment method on file via Polar.
  • Cancellation. You can cancel at any time from the dashboard or the Polar customer portal. Cancellation takes effect at the end of the current paid period; you keep access until then.
  • Refunds. Charges are non-refundable except where required by law (e.g. the UK 14-day cooling-off period for consumer purchases, where it applies and provided you have not yet substantially used the Service). Contact billing@grith.ai with refund requests.
  • Price changes. We may change pricing on at least 30 days' notice for new renewals. Notice will be sent to your account email.
  • Taxes. Listed prices may exclude VAT or other applicable sales taxes; Polar applies the relevant rate at checkout.

6. Your content

You retain all rights in any content you submit to the Service (filter configurations, profile overrides, audit data synchronised to your account, etc.). You grant us a worldwide, non-exclusive licence to host, transmit, and process that content solely to provide the Service to you.

For aggregated, fully-anonymised statistics (e.g. "the average team blocks N percent of secret-leak attempts per week") we may use derived insights to improve the product. We never sell your raw content to anyone.

7. No warranty

The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all warranties, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. grith is a defence-in-depth tool; it does not guarantee that no malicious action will succeed against a supervised AI agent. You remain responsible for your own security review and operational practices.

8. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms.

Our aggregate liability under these Terms in any 12-month period will not exceed the greater of (a) the fees you paid us in that period or (b) £100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded — including liability for death or personal injury caused by negligence, for fraud, or for any other liability that English law treats as non-excludable.

9. Indemnity

You will defend, indemnify, and hold Field-Logic harmless from third-party claims arising from your breach of these Terms or your unlawful use of the Service.

10. Termination

You may close your account at any time from the dashboard. We may terminate or suspend your access if you materially breach these Terms, if continuing to provide the Service to you would expose us to legal risk, or if we wind down the Service. On termination, sections 4 (open-source), 7 (warranty), 8 (liability), 9 (indemnity), 12 (governing law), and any obligations that by their nature should survive, will survive.

11. Changes to these Terms

We may update these Terms when our service or the legal landscape changes. We will give at least 30 days' notice of material changes by email (for account holders) and via a banner on grith.ai. Continued use of the Service after the effective date constitutes acceptance.

12. Governing law and jurisdiction

These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, without prejudice to your statutory rights as a consumer if you are based in another jurisdiction.

13. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any subscription order you place, form the entire agreement between you and us regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign these Terms without our written consent. We may assign them as part of a corporate transaction (merger, acquisition, restructuring) on reasonable notice.
  • Notices. Notices to us go to legal@grith.ai. Notices to you go to the email on your account.
